EXHIBIT 99.1 SUMMARY OF FISCAL 2007 EXECUTIVE INCENTIVE COMPENSATION PROGRAM SkillSoft’s executive officers are eligible to receive incentivecompensation in the form of quarterly and annual bonuses for the fiscal yearending January 31, 2007. The bonus opportunities are linked to SkillSoft’sachievement of defined quarterly and annual company performance metrics reviewedand approved by the Compensation Committee of the Board of Directors early inthe fiscal year. Specifically, the quarterly performance metrics relate to theachievement of cash earnings per share and revenue targets. Generally, theannual performance metrics relate to bookings and cash earnings per sharetargets as well as the achievement of certain strategic, customer satisfactionand corporate marketing objectives. Minimum threshold performance metrics mustbe achieved on a quarterly or annual basis in order for the executive officer toreceive a quarterly bonus or annual bonus for such period. The target bonus opportunity for each executive officer on a quarterlybasis (the “Quarterly Target Bonus Opportunity”) is set forth in the tablebelow. The Quarterly Target Bonus Opportunity represents each executiveofficer’s target bonus for each quarter. In any particular quarter, thequarterly bonus that each executive officer is eligible to receive may be zeroor either 25%, 75%, 100%, 125% or 150% of the Quarterly Target Bonus Opportunitybased on SkillSoft’s achievement of cash earnings per share and revenue targets. The target bonus opportunity for each executive officer on an annual basis(the “Annual Target Bonus Opportunity”) is set forth in the table below. TheAnnual Target Bonus Opportunity represents each executive officer’s target bonusbased on performance for the year. Based on SkillSoft’s achievement of annualbookings and cash earnings per share targets and the achievement of certainstrategic, customer satisfaction and corporate marketing objectives, eachexecutive officer is eligible to receive between zero and 150% of the AnnualTarget Bonus Opportunity.
